This End-User License Agreement and Terms of Use (the "Agreement") is a binding agreement between you and NeutraNarc Inc. ("NeutraNarc," "we," "us," or "our") governing your access to and use of the NeutraNarc ordering portal located at `portal.neutranarc.eparic.com`, related websites, applications, administrative interfaces, integrations, content, and services (collectively, the "Portal").
By creating an account, accepting this Agreement, accessing the Portal, or using any Portal feature, you agree to this Agreement and to our Privacy Policy. If you use the Portal on behalf of a company, government agency, healthcare provider, law-enforcement organization, pharmacy, or other entity (an "Organization"), you represent that you have authority to bind that Organization, and "you" includes both you and the Organization. If you do not agree or lack that authority, do not use the Portal.
1. Eligibility and Authorized Users
You must be at least 18 years old and legally capable of entering into this Agreement. The Portal is intended for authorized customers, customer representatives, and NeutraNarc personnel. You may use the Portal only for legitimate business purposes and only within the authority granted to you by your Organization.
You are responsible for ensuring that the information you provide is accurate and current and that each user accessing an account is properly authorized. NeutraNarc may require additional verification before activating an account, accepting an order, enabling a feature, or processing a transaction.
2. Accounts and Security
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring through your account. You must not share individual credentials, permit unauthorized access, or attempt to bypass authentication, permissions, or security controls.
You agree to notify NeutraNarc promptly at [support@neutranarc.com](mailto:support@neutranarc.com) if you suspect unauthorized access, credential compromise, or misuse. NeutraNarc may suspend access, require a password reset or reauthentication, or take other protective action when we reasonably believe an account or the Portal may be at risk.
3. Limited License
Subject to this Agreement, NeutraNarc grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Portal for your Organization's authorized internal business purposes, including placing and managing orders, viewing account and transaction information, communicating with NeutraNarc, and using features made available to your account.
The Portal is licensed, not sold. NeutraNarc and its licensors reserve all rights not expressly granted under this Agreement.
4. Acceptable Use
You may not, and may not permit another person to:
- Use the Portal for an unlawful, fraudulent, deceptive, harmful, or unauthorized purpose;
- Access or attempt to access another user's account, data, or restricted functionality without authorization;
- Interfere with the Portal's operation, security, integrity, or availability;
- Introduce malware, malicious code, automated attacks, or unreasonable traffic;
- Probe, scan, test, or circumvent a vulnerability or security measure without NeutraNarc's prior written authorization;
- Scrape, harvest, or use automated means to access the Portal except through an interface expressly provided or authorized by NeutraNarc;
- Copy, modify, translate, reverse engineer, decompile, disassemble, or attempt to derive source code from the Portal, except to the limited extent such a restriction is prohibited by law;
- Remove or alter proprietary notices;
- Resell, sublicense, rent, lease, distribute, or provide the Portal as a service bureau;
- Upload or submit content that infringes, misappropriates, or violates another person's rights; or
- Use data obtained through the Portal to discriminate unlawfully, make unauthorized eligibility decisions, or engage in activities outside the purpose for which the data was provided.
5. Orders and Product Availability
Orders submitted through the Portal are offers to purchase and remain subject to acceptance by NeutraNarc. An automated confirmation acknowledges receipt but does not necessarily constitute final acceptance. NeutraNarc may reject, limit, hold, or cancel an order for reasons including product availability, pricing or description errors, suspected fraud, credit or payment issues, shipping restrictions, regulatory concerns, or inability to verify order information.
Prices, availability, product configurations, minimum quantities, discounts, taxes, shipping charges, and lead times may change. The terms displayed or quoted at the time an order is accepted will control that order, subject to correction of obvious errors and any separate written agreement between NeutraNarc and the customer.
Title and risk of loss, returns, cancellations, warranties, and shipping terms will be governed by the applicable quote, order confirmation, invoice, written customer agreement, or published sales policy. If those documents conflict with this Agreement regarding a specific purchase, the more specific purchase terms control for that purchase.
6. Payments, Cards, and ACH
You agree to pay all authorized charges, taxes, shipping costs, and other amounts associated with accepted orders. NeutraNarc may use a third-party payment processor to accept cards, ACH debits, or other payment methods. When electronic payments are offered, payment credentials are collected and processed directly by that provider through a hosted or tokenized interface, and the provider's terms and privacy notice also apply.
If you authorize an ACH debit, you represent that you are authorized to use the bank account and authorize the payment processor and its financial partners to debit the specified amount according to the mandate presented at checkout. You agree that electronic authorization may serve as your written authorization where permitted by law.
ACH transactions can remain pending and may later fail, be returned, reversed, or disputed. Unless NeutraNarc expressly agrees otherwise, submission of an ACH payment does not constitute final payment until the transaction settles. NeutraNarc may delay fulfillment, suspend services, reverse credits, or require another payment method when a transaction is pending, rejected, returned, or disputed.
You are responsible for providing accurate billing information and for any fees or losses caused by an unauthorized or invalid payment method, to the extent permitted by law. Refunds, credits, chargebacks, and payment disputes are subject to applicable law, processor rules, and NeutraNarc's applicable sales or refund terms.
7. QuickBooks Online Integration
The Portal includes an internal integration with Intuit QuickBooks Online that authorized NeutraNarc administrators may use to support accounting and business workflows. The integration may access, create, update, or synchronize supported records such as customers, products or services, orders, invoices, sales transactions, payment status, billing and shipping information, tax or discount information, and related transaction identifiers.
Only an authorized administrator may connect, reconnect, or disconnect the applicable QuickBooks company. By initiating a connection, the administrator represents that the administrator has authority to grant the requested access. The integration uses Intuit's authorization process, and Intuit's terms and privacy policies also apply.
The Portal may automatically refresh authorization tokens and retry supported operations. If authorization is revoked, expires, or cannot be refreshed, an administrator may be required to use the Portal's **Reconnect QuickBooks** function. Reconnecting addresses authorization failures; it does not restore features unavailable under a QuickBooks subscription plan.
Synchronization may be delayed or fail because of unavailable services, expired or revoked authorization, validation errors, subscription limitations, data conflicts, rate limits, or other conditions. You are responsible for reviewing important records and reports and for promptly reporting discrepancies. The Portal is not a substitute for maintaining appropriate accounting controls, backups, reconciliations, or professional advice.
Disconnecting QuickBooks stops future synchronization after the disconnection takes effect but does not automatically delete records previously synchronized or information NeutraNarc must retain for accounting, tax, audit, security, dispute-resolution, or legal purposes.
QuickBooks and Intuit are trademarks of Intuit Inc. NeutraNarc is not Intuit, and Intuit is not responsible for the Portal except as expressly stated in Intuit's own terms.
8. Other Third-Party Services
The Portal may integrate with or depend on third-party services, including Shopify, Amazon Web Services, ShipStation, payment processors, shipping carriers, communications providers, and Intuit. Third-party services are governed by their own terms and privacy notices.
NeutraNarc does not control third-party services and is not responsible for their acts, omissions, availability, security, accuracy, or changes. We may modify, replace, suspend, or discontinue an integration when reasonably necessary. Third-party outages or changes may temporarily affect Portal functionality.
9. Customer Data and Privacy
You retain any rights you have in information you or your Organization submit to the Portal ("Customer Data"). You grant NeutraNarc a non-exclusive license to host, copy, process, transmit, display, and otherwise use Customer Data as reasonably necessary to provide, secure, support, and improve the Portal; fulfill orders; operate authorized integrations; comply with law; and enforce this Agreement.
You represent that you have all rights, permissions, notices, and consents necessary for NeutraNarc and its service providers to process Customer Data as described in this Agreement and the Privacy Policy. You must not submit information that the Portal is not designed or authorized to receive.
Our collection, use, disclosure, retention, and protection of personal information is described in the NeutraNarc Privacy Policy, available at `https://neutranarc.com/policies/privacy-policy`, which is incorporated into this Agreement by reference.
10. Product and Regulatory Information
Product descriptions, instructions, educational materials, regulatory resources, and other Portal content are provided for general informational and commercial purposes. Unless expressly stated in an authorized written agreement, Portal content is not medical, pharmaceutical, legal, tax, accounting, environmental, or regulatory advice and does not replace professional judgment or Organization-specific policies.
You are responsible for determining whether products and procedures are suitable for your intended use and for complying with applicable federal, state, local, tribal, facility, and professional requirements. Always follow current product labeling, instructions, safety information, and applicable law. Statements about standards, certifications, or regulatory considerations apply only as expressly described in current authorized materials and should not be interpreted as a guarantee of compliance for every user, setting, substance, workflow, or jurisdiction.
11. Intellectual Property
The Portal, including its software, design, interfaces, text, graphics, logos, trademarks, workflows, documentation, and other content, is owned by or licensed to NeutraNarc and is protected by intellectual-property and other laws. Except for the limited license granted above, this Agreement transfers no right, title, or interest in the Portal or NeutraNarc intellectual property.
If you submit feedback, ideas, or suggestions concerning the Portal, you grant NeutraNarc a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without restriction or compensation, provided we do not identify you publicly as the source without permission.
12. Availability, Changes, and Updates
We may update, modify, or discontinue Portal features, integrations, or content. We may perform maintenance or impose reasonable usage limits. We do not guarantee that the Portal will be uninterrupted, error-free, or compatible with every browser, device, third-party service, or QuickBooks subscription.
We may provide notices through the Portal, by email, or through other reasonable means. You are responsible for maintaining current contact information and reviewing notices relevant to your account.
13. Suspension and Termination
You may stop using the Portal at any time. NeutraNarc may suspend or terminate access if you violate this Agreement, create security or legal risk, fail to pay amounts due, misuse the Portal, or if continued access is no longer commercially or technically feasible.
Upon termination, your license ends and you must stop using the Portal. Provisions that by their nature should survive will survive, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, dispute terms, and rights concerning retained records.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PORTAL AND ITS CONTENT, INTEGRATIONS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NEUTRANARC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND QUIET ENJOYMENT.
NEUTRANARC DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DATA WILL ALWAYS SYNCHRONIZE CORRECTLY OR IMMEDIATELY, OR THAT THE PORTAL WILL MEET EVERY LEGAL, REGULATORY, ACCOUNTING, TAX, OR OPERATIONAL REQUIREMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Any separate written warranty applicable to a NeutraNarc product is governed by its own terms and is not expanded by this Agreement.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUTRANARC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE PORTAL OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF NEUTRANARC AND THE FOREGOING PARTIES ARISING OUT OF OR RELATED TO THE PORTAL OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID TO NEUTRANARC FOR USE OF THE PORTAL DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless NeutraNarc and its officers, directors, employees, affiliates, licensors, and service providers from claims, damages, losses, liabilities, judgments, penalties, costs, and expenses, including reasonable attorneys' fees, arising from or related to: (a) your breach of this Agreement; (b) your misuse of the Portal; (c) your Customer Data; (d) your violation of law or another person's rights; or (e) an unauthorized or invalid payment or instruction submitted through your account.
This section may not apply to a government entity or other Organization to the extent applicable law prohibits indemnification.
17. Governing Law and Disputes
This Agreement is governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent federal law applies. Subject to any separate written agreement, the parties consent to the exclusive jurisdiction and venue of the state and federal courts having jurisdiction over NeutraNarc's principal place of business in Ohio.
Before filing a claim, the parties agree to attempt in good faith to resolve the dispute by sending written notice describing the issue and requested resolution. Nothing in this section prevents either party from seeking urgent injunctive relief or pursuing a remedy that cannot lawfully be limited.
18. Changes to This Agreement
We may update this Agreement from time to time. We will post the revised Agreement, update the effective date, and provide any additional notice required by law. Changes apply prospectively from their effective date. Your continued use after the effective date constitutes acceptance where permitted by law. If you do not agree to an updated Agreement, you must stop using the Portal.
19. General Terms
This Agreement, the Privacy Policy, and any applicable order, quote, sales terms, or separate written customer agreement constitute the agreement governing the matters they address. If a separate signed agreement conflicts with this Agreement, the signed agreement controls to the extent of the conflict.
You may not assign this Agreement without NeutraNarc's prior written consent. NeutraNarc may assign it in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law. Failure to enforce a provision is not a waiver. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Headings are for convenience only. Electronic acceptance and records have the same effect as paper originals and signatures where permitted by law.
Neither party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations for completed transactions.
